Proposed Amendment to OTTA Bylaws
The Board has voted to consider an Amendment to the Bylaws regarding Voting Member status. The entire proposal is available for review below.

Current voting members are encouraged to submit comments on the proposal by email to info@oldtowntriangle.com no later than August 14, 2026.
In accordance with Article XIV, Amendments to Bylaws, Section1, Amendment by the Board of Directors, the Board has prepared a proposed amendment to the Bylaws. The purpose of this amendment is to provide recognition of key members of the Association by conveying “Voting Member” designation to them and the opportunity to serve as a Non-Officer Director and/or Officer on the Board of Directors.
This memorandum shall serve as notice to all Voting Members of the intent by the Board of Directors to amend the Bylaws. Following a thirty (30) day period for review, the Board shall vote on this proposed amendment no later than the regular Board meeting on 08 September 2026.

A by-law change is serious business. Why is this happening?
For several years the Board of Directors and general membership have recognized “members” of the Association who are continuously involved in OTTA activities, committees and events. These members are often recognized for their leadership qualities, professional skills, qualifications, special expertise, collaborative skills, time commitment, personal interest in future OTTA growth, knowledge of the OTTA practices and focus on opportunities for fundraising. Unfortunately, these “members” are prevented from being Directors or Officers on the Board, or Committee Chairs, because they don’t comply with the residency requirement of living within the Ogden/North Avenue/Clark Street “triangle”. This Article I residency requirement prevents many “members” from becoming “Voting Members” and therefore, under current Bylaws, are prevented from serving on the Board. This restriction has been discussed numerous times in the last year by the Board. The purpose of this amendment is to provide recognition of key members of the Association by conveying “Voting Member” designation to them and the opportunity to serve as a Non-Officer Director and/or Officer on the Board of Directors.
Is there a current “voting” board member that does not live within the boundaries?
No. The Board complies fully with the OTTA Bylaws.
